These Terms of Service (the “Terms”) govern access to and use of the website aminopeptides.ca (the “Site”) and the purchase of any product offered by Aminopeptides (the “Company,” “we,” “us,” or “our”). The Terms constitute a binding legal agreement between you (the “Customer,” “you,” or “your”) and Aminopeptides. Please read them carefully. By browsing the Site, creating an account, or submitting an order, you agree to be bound by these Terms in their entirety. If you do not agree, do not use the Site and do not place an order.
1. Research-Use-Only Disclaimer
This disclaimer is the most important provision in these Terms and is repeated, in substance, on every product page, on the cart, at checkout, and in the order-confirmation email. All products sold by Aminopeptides are supplied strictly for in-vitro laboratory and research purposes by qualified personnel operating in an appropriate research setting. They are not drugs, food, cosmetics, dietary supplements, or natural-health products. They are not intended for, and must not be used for, human or veterinary consumption, ingestion, injection, inhalation, topical application, or any other in-vivo administration. They have not been evaluated or approved by Health Canada, the United States Food and Drug Administration, the European Medicines Agency, or any other regulatory authority for therapeutic, diagnostic, prophylactic, or cosmetic use.
By placing an order with Aminopeptides you represent and warrant that you understand and accept the research-use-only nature of every product sold; that you will store, handle, label, and dispose of the product in accordance with applicable laboratory-safety standards; that you will not administer the product to any person or animal, including yourself; and that you will not resell or transfer the product to any third party who is not a qualified researcher operating under equivalent conditions. Any breach of this Section 1 voids any warranty, refund right, or replacement entitlement otherwise described in our Refund Policy.
2. Age Verification — Eighteen Plus Only
Aminopeptides sells exclusively to individuals who are at least eighteen (18) years of age. By browsing the Site or placing an order you represent and warrant that you are eighteen years of age or older. We may, in our sole discretion, request government-issued identification to verify age before fulfilling an order. Orders that we have reason to believe were placed by minors will be cancelled and refunded, less any payment-processing costs already incurred. [LAWYER REVIEW REQUIRED] Counsel should confirm whether the age of majority for these Terms should track Ontario (eighteen) or the higher provincial age of majority (nineteen in some provinces) given that we ship Canada-wide.
3. Acceptance and Modification of Terms
These Terms take effect on the “Last updated” date shown above and remain in force until amended or replaced. We may amend the Terms at any time by posting a revised version on this page; the revised Terms take effect immediately upon posting. Material changes will be communicated through a prominent notice on the Site and, where appropriate, by email to customers with an active order. Your continued use of the Site or placement of new orders after the revised Terms take effect constitutes your acceptance of the revised Terms. If you do not accept a change, your sole remedy is to stop using the Site and stop placing orders.
4. Permitted Use of the Site
You may access and use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site in any way that could damage, disable, overburden, or impair our servers or networks; not to attempt to gain unauthorized access to any portion of the Site, any account, any computer system, or any data we hold; not to use any robot, spider, scraper, or other automated means to access the Site without our prior written consent; not to introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material; not to harvest or collect email addresses or other contact information from the Site; and not to use the Site or any product purchased through it to violate any applicable law, regulation, or third-party right.
5. Account Registration and Security
You may be asked to create an account to place an order. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to provide accurate, current, and complete information at registration and to update it promptly when it changes. 6. Orders, Pricing, and Payment
All prices on the Site are stated in Canadian dollars (CAD) and are exclusive of applicable federal and provincial taxes, which will be calculated and added at checkout where required. Aminopeptides accepts payment exclusively by Interac e-Transfer. A non-refundable five-dollar ($5.00 CAD) Interac e-Transfer surcharge applies to each order to defray verification and reconciliation costs; this surcharge is disclosed before checkout and is not part of the merchandise subtotal used to evaluate the free-shipping threshold. Submission of an order constitutes an offer by you to purchase the products listed in the order at the prices and on the terms stated. Aminopeptides reserves the right to accept or decline any order in whole or in part, including but not limited to circumstances involving suspected fraud, suspected resale, regulatory concern, inventory shortage, or pricing error. An order is accepted only when payment has been received and confirmed and a fulfillment confirmation has been sent. [LAWYER REVIEW REQUIRED] Counsel should confirm that the offer-and-acceptance framing aligns with Ontario contract-formation rules for online sales and that disclosure of the EMT surcharge meets the upfront-disclosure requirements of the Ontario Consumer Protection Act, 2002.
7. Intellectual Property
The Site and all content on it — including but not limited to text, graphics, logos, product photography, product descriptions, blog articles, the Aminopeptides word mark and stylized logo, the visual design and layout of the Site, the peptide-calculator tool, and the underlying source code — are the property of Aminopeptides or its licensors and are protected by Canadian and international copyright, trade-mark, and other intellectual-property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Site for personal, non-commercial purposes consistent with these Terms. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site without our prior written consent, except that you may print or download a single copy of a page for your own non-commercial reference.
8. Product Information, Accuracy, and Representations
We take reasonable care to ensure that product names, descriptions, milligram quantities, photographs, certificates of analysis, and pricing on the Site are accurate. Errors nonetheless occur from time to time. Aminopeptides does not warrant that product descriptions or other content on the Site are complete, current, or error-free. Where we discover an error before an order has shipped, we will notify you and, at your election, correct the order or cancel and refund it. Photographs are illustrative and the product as shipped may vary slightly in appearance owing to manufacturing batch variance, lyophilization conditions, or vial supplier. Certificates of analysis (“COAs”) are made available on request and reflect testing of the relevant manufacturing lot; COAs are provided for informational purposes and do not constitute a representation or warranty beyond what is expressly stated in these Terms.
9. Disclaimer of Warranties
Except as expressly set out in these Terms or the Refund Policy, the Site and all products are provided on an “as is” and “as available” basis, without warranty of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Aminopeptides disclaims all warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, durability, accuracy, completeness, quiet enjoyment, and any warranty arising out of course of dealing or usage of trade. Without limiting the generality of the foregoing, Aminopeptides makes no warranty that any product will achieve any particular research result. [LAWYER REVIEW REQUIRED] Counsel should confirm the enforceability of this disclaimer against the implied conditions of merchantable quality and fitness for purpose under the Ontario Sale of Goods Act and against any non-waivable consumer warranties under the Ontario Consumer Protection Act, 2002.
10. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will Aminopeptides, its directors, officers, employees, contractors, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, loss of research results, business interruption, or substitute-procurement costs, arising out of or in connection with your use of the Site, your purchase or use of any product, or these Terms, regardless of the legal or equitable theory on which the claim is based and even if Aminopeptides has been advised of the possibility of such damages. The aggregate liability of Aminopeptides arising out of or in connection with your use of the Site or any product purchased through it is limited to the lesser of (a) the amount you actually paid to Aminopeptides for the product giving rise to the claim in the twelve months preceding the event giving rise to the claim, and (b) one hundred Canadian dollars ($100.00 CAD). 11. Indemnification
You agree to indemnify, defend, and hold harmless Aminopeptides and its directors, officers, employees, contractors, agents, suppliers, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees on a full-indemnity basis) arising out of or in connection with: your breach of these Terms; your use of the Site; your purchase, use, storage, handling, or disposal of any product; any administration of a product to a person or animal in violation of Section 1; any violation by you of any law, regulation, or third-party right; and any misrepresentation made by you to Aminopeptides. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of the matter.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You and Aminopeptides irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario sitting in Toronto for the resolution of any dispute arising out of or in connection with these Terms, the Site, or any product purchased through the Site. [LAWYER REVIEW REQUIRED] Counsel should confirm the choice of Ontario law and Toronto venue, and advise on whether an arbitration clause or small-claims-court carve-out is preferable for consumer disputes.
13. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be severed from these Terms and the remaining provisions will continue in full force and effect. To the extent permitted by applicable law, the parties agree to replace the severed provision with a valid and enforceable provision that achieves, as closely as possible, the original intent.
14. Waiver
No failure or delay by Aminopeptides in exercising any right under these Terms operates as a waiver of that right. Any waiver must be in writing and signed by an authorized representative of Aminopeptides to be effective.
15. Entire Agreement
These Terms, together with the Shipping Policy, the Refund Policy, the Privacy Policy, and any wholesale agreement or product-specific terms expressly incorporated by reference, constitute the entire agreement between you and Aminopeptides with respect to the subject matter and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral. Where these Terms conflict with any policy linked above, these Terms govern, except where the linked policy is a wholesale agreement signed by both parties, in which case the wholesale agreement governs for that customer.
16. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. Aminopeptides may assign these Terms in whole or in part at any time, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

18. Survival
The provisions of these Terms that by their nature are intended to survive termination — including without limitation Sections 1 (Research-Use-Only Disclaimer), 7 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 12 (Governing Law and Jurisdiction), 13 (Severability), 15 (Entire Agreement), and this Section 18 — will survive any termination or expiration of these Terms.
